Board of Directors Development Network (BDDN): The Members of the Board of Directors of a company have the responsibilities, among others, establish and update the organization mission; elect the organization’s top officers, the foremost of whom is the CEO; establish the compensation levels of the top officers, including their salaries and bonuses; set broad organization policy on such matters as labor – management relations, product or service lines of the organization, and employee benefit packages; set company objectives and to authorize managers to implement the long-term strategies that the top officers and the board have found agreeable; and mandate company compliance with legal and ethical dictates. These are huge responsibilities. The directors must be both emotional and physically ready to deliver on these responsibilities, including having the know-how, experience and desire to succeed. Our network, Board of Directors Network (BDDN), is platform for the current and prospective directors to develop insights through sharing. Their success is determined by the following factors; they represent the interests of the stakeholders and carefully monitor the actions of senior executives to promote and protect those interests; link the organization to influential stakeholders in its external environment, thereby promoting the organization’s mission while ensuring attention to important societal concerns; are composed of highly qualified members; exercise independent and objective thinking in appraising the actions of senior executives and in introducing strategic changes; pay special attention to their own composition to ensure an appropriate mix of inside and outside directors and the inclusion of minority representatives; have a well-developed structure; that is, they are organized into appropriate committees to perform specialized tasks (e.g. to review executive compensation and to audit the company’s financial transactions); meet frequently to discuss progress in achieving organizational goals and to provide counsel to executives; evaluate the CEO’s performance at least annually to provide guidance on issues of leadership style.
